Unilateral Minimum Advertised Price & Marketplace Policy

IMPORTANT NOTICE TO ALL RESELLERS
This is a unilateral policy. No signature is required. By purchasing Gnarly Dood products for resale, all resellers automatically agree to comply with this policy in its entirety. Continued purchasing constitutes ongoing acceptance.
1. Purpose and Scope
Gnarly Dood LLC, a subsidiary of Wild Water Properties LLC ("Gnarly Dood"), issues this Unilateral Minimum Advertised Price and Marketplace Policy ("Policy") to:
• Protect the Gnarly Dood brand and product value in the marketplace
• Ensure fair and consistent pricing across all sales channels
• Prevent unauthorized online marketplace activity that harms the brand
• Maintain healthy reseller relationships by creating a level playing field
This Policy applies to all individuals, businesses, gyms, retailers, distributors, and any other entity that purchases Gnarly Dood products for resale, regardless of whether a separate agreement exists.
2. Acceptance of This Policy
This is a unilateral policy issued solely by Gnarly Dood LLC. It does not require agreement, countersignature, or acknowledgment from any reseller to be effective and enforceable. Acceptance is automatic and binding upon any of the following actions:
• Placing a purchase order for Gnarly Dood products
• Accepting delivery of Gnarly Dood products
• Listing or advertising Gnarly Dood products for sale in any channel
• Selling Gnarly Dood products to any end consumer
3. Minimum Advertised Price (MAP)
All resellers must advertise Gnarly Dood products at or above the following MAP prices at all times across all channels:

MAP prices are subject to change with 30 days written notice to all active resellers. Updated pricing supersedes all previous versions of this policy.
4. What Constitutes Advertised Price
The advertised price includes any publicly displayed price, including:
• Listed price on any website, marketplace, or storefront
• Price after any publicly advertised coupon, discount code, or promotional offer
• Bundled pricing that implies a per-unit cost below MAP
• "Sale" or "clearance" pricing displayed publicly
• Social media posts, email newsletters, or any other public communication displaying a price
5. Online Marketplace Restrictions
Resellers are prohibited from listing or selling Gnarly Dood products on the following platforms without express prior written authorization from Gnarly Dood LLC:
• Amazon.com and all Amazon international marketplaces
• Walmart.com marketplace
• eBay.com
• Facebook Marketplace, Instagram Shopping, TikTok Shop
• Any other third-party marketplace platform not explicitly approved in writing
Gnarly Dood LLC is the exclusive authorized seller of Gnarly Dood products on Amazon.com and Walmart.com. Unauthorized listings will be reported to the platform and may result in immediate enforcement action.
6. No Reselling to Other Resellers
Resellers may not sell, transfer, or distribute Gnarly Dood products to other wholesalers, distributors, or resellers. All Gnarly Dood products purchased under a wholesale account are intended for direct end-consumer sale only.
7. Enforcement and Consequences
Gnarly Dood LLC actively monitors all sales channels for policy compliance. Upon discovery of a violation, Gnarly Dood LLC reserves the right to take any or all of the following actions:
1. Issue a written notice requiring immediate correction within 24 hours
2. Suspend product fulfillment to the violating reseller
3. Permanently terminate the reseller's wholesale purchasing privileges
4. File a Brand Registry complaint or intellectual property claim with the relevant platform
5. Pursue legal remedies for trademark infringement or breach of this Policy
8. Policy Updates
Gnarly Dood LLC reserves the right to amend this Policy at any time. Updated versions will be distributed to all active resellers via email and posted at gnarlydood.com. Continued purchasing after notice of an update constitutes acceptance of the revised Policy.
9. Governing Law
This Policy shall be governed by the laws of the State of Utah. Any disputes arising under this Policy shall be resolved in Utah courts.
